Register an out-of-state company in California

If your LLC or corporation was formed in another state and does business in California, it must register with the Secretary of State. We file it for you, next business day.

An out-of-state LLC registers in California by filing an Application to Register a Foreign LLC (Form LLC-5), $70. An out-of-state corporation files a Statement and Designation by Foreign Corporation, $100. Both need a certificate of good standing from the home state issued within the last six months, and a California agent for service of process.

When you need to register

A company formed outside California generally must register before it transacts intrastate business here, such as having an office, employees or ongoing operations in the state. For tax purposes, the Franchise Tax Board also treats a company as doing business in California if it is commercially domiciled here, actively engages in transactions for profit here, or its California sales, property or payroll exceed thresholds the FTB adjusts each year.

What you need

  • A certificate of good standing (also called a certificate of status or existence) from your home state, issued within the last six months
  • Your company’s exact legal name. If the name is not available in California, you can register under an alternate name.
  • A California agent for service of process. Ours is included for the first year.
  • Your principal office address and, if different, a California office address

Questions

Where do I get a certificate of good standing?

From the business filing office in the state where your company was formed, usually the Secretary of State. Most states issue it online the same day. California requires it to have been issued within the last six months.

Do I have to pay the $800 tax if I register an out-of-state company?

Yes. LLCs registered in California owe the $800 annual tax. Corporations that qualify in California are not charged the $800 minimum in their first tax year but pay tax on California income.

Should I form a new California LLC instead?

If you will mainly operate in California, forming a California LLC can avoid paying fees and filing reports in two states. Ask your CPA which approach fits your plans.
