CaliforniaFilings.com is a private filing service, not the California Secretary of State. You can file directly with the state at bizfileOnline.sos.ca.gov.

California Statement of Information

The public filing every California LLC and corporation makes within 90 days of forming, and on a regular schedule after that.

A Statement of Information is filed with the California Secretary of State within 90 days of forming or registering a company. LLCs file Form LLC-12 for $20 and renew every two years. Corporations pay $25 and renew every year. The filing is public and lists managers or officers and their addresses.

What it lists

  • Company name and Secretary of State file number
  • Principal office street address and mailing address (no P.O. box for the street address)
  • LLCs: the managers, or the members if there is no manager, plus the CEO if there is one
  • Corporations: the CEO, secretary, CFO and every director
  • The agent for service of process
  • The type of business

Privacy and the Statement of Information

This is the filing that puts owners’ and managers’ names on the public record. If you want your name kept off it, see our LLC with privacy.

Watch for look-alike notices. Private companies mail official-looking letters offering to file your Statement of Information for far more than the state fee. The state’s fee is $20 for LLCs and $25 for corporations at bizfileOnline.sos.ca.gov.
